Capital B Adds 376 BTC as Bitcoin Treasury Holdings Hit 3,521 BTC

Capital B has added 376 Bitcoin to its treasury for €25.3 million, bringing its strategic holdings to 3,521 BTC. The company funded the purchase with proceeds from its latest capital raises and paid €67,182 per Bitcoin. The new acquisition takes its total spending on the strategic reserve to €309.4 million, giving the company an average acquisition cost of €87,878 for each Bitcoin it holds.

The purchase marks the company’s largest single Bitcoin acquisition since June last year. Capital B bought 624 BTC that month as it expanded its corporate Bitcoin strategy. Its strategic reserve stood at 2,828 BTC in February before reaching 3,139 BTC by June. The company then added one BTC on Aug. 3 and five more on Aug. 17.

The company also holds 61 BTC for operational needs outside its strategic reserve. Capital B keeps those coins separate from its treasury holdings and excludes them from its performance figures. The strategic reserve had a reported net asset value of €240.8 million at the time of the announcement.

Adam Back and TOBAM Back the Capital B Bitcoin Treasury Strategy

The latest Bitcoin purchase followed nearly €30 million in fresh financing. Capital B raised €28.7 million through two private placements and another €1.44 million through its TOBAM capital increase agreement.

The first private placement came on Aug. 28 and raised €21.01 million. Capital B issued 36.22 million shares through that transaction. The company expected about €19.9 million in net proceeds after placement fees and other costs.

The financing involved share-and-warrant units priced at €0.58 each. Every share came with four subscription warrants. Adam Back joined the placement before making another €7.64 million investment on Sept. 2. His total holdings have since reached 67.49 million Capital B shares, representing 17.64% of the company’s ordinary share capital and 14.68% on a fully diluted basis.

Blockstream Capital Partners owns 18.77% of the ordinary share capital. TOBAM holds another 3.16% on the same basis. The TOBAM Bitcoin Alpha Fund invested about €769,527 in the transaction. Capital B also received broader financing authority from shareholders in June. The approvals covered up to €100 billion in debt capacity and up to €5 billion in capital increases. Each resolution received more than 95% support from votes cast.

BTC Yield Rises as Share Consolidation Nears

The latest purchase also lifted Capital B’s year-to-date BTC Yield to 2.17%. Capital B recorded a year-to-date BTC Gain of 61.3 BTC. It also calculated a BTC € Gain of approximately €4.19 million. For the current quarter, BTC Yield reached 0.31%, while BTC Gain stood at 9.9 BTC.

The company will implement a 10-for-1 reverse stock split on Sept. 8. The move will turn every 10 existing shares into one new share. Capital B will also adjust its outstanding convertible bonds and warrants to reflect the split.

The three latest warrant tranches will have exercise prices of €7.50, €9.80 and €12.70 per consolidated share. Each tranche will carry a five-year maturity. Capital B adopted its current name in July last year after operating as The Blockchain Group. In June, the company also said it was exploring a Bitcoin-backed credit product for the European market.
